USER AGREEMENT
This is the User Agreement (“Agreement”) between KDM Enterprises, a registered company under the Indian Companies Act 2013, located at 357, First Floor, Patparganj Industrial Area, New Delhi 110092 (INDIA) (“KDM”), and the users of the website (“You”, “Your”, “User”/”Users”). Before subscribing to and/or using the website, KDM requires users to have read, understood and accepted the Agreement. All terms and conditions listed for B2B marketplace e-commerce businesses are in accordance with the FDI policy. If you do not agree with the Agreement or do not wish to be bound by it, you cannot access or use the website.
The following demonstrates User Agreement for the website and mobile application “Keedwi” (collectively referred to as the “Platform”), which is owned and managed by KDM (referred to as “Keedwi”). By using the Platform, you acknowledge and accept the following Terms and Conditions (Terms). Before using any of the services of the Platform (“Services”), it is mandatory for all users to read the Terms carefully, fully understand them, and agree to them. The Services are available only to those individuals, firms, or companies who can form legally binding contracts under Indian laws. If you are under 18 years of age, you may use the Services only with the involvement of a parent or guardian. The following terms and conditions govern your use of the Platform. Keedwi provides an online B2B marketplace e-commerce service where registered sellers display branded products for sale and users can purchase them, subject to the T&Cs.
AMENDMENT TO USER AGREEMENT
Changes may be made by Keedwi to this User Agreement without prior notification to user(s), and such modifications will be effective immediately upon posting. It is recommended that you regularly review this agreement for any amendments or updates to its terms and conditions. Failure to comply with these changes will require you to discontinue using the Platform. Your continued use of the Platform will indicate your agreement to the modified terms.
ELIGIBILITY OF USER
The term “User(s)” refers to any business entity/organization or individual who legally operates within India or other countries and has the right to use the services provided by the Platform. To use our services, you must be able to form legally binding contracts under the applicable law, specifically the Indian Contract Act of 1872. Minors who wish to purchase or sell items on the Platform must have their legal guardians or parents, who have registered as users, conduct the transaction on their behalf. While using the Platform, users must follow and abide by all related laws. Keedwi will not be responsible for any possible consequences resulting from a user’s behavior on the Platform. Keedwi reserves the right to terminate a user’s membership and deny access to the Platform at any time in its sole discretion. We record the browsing and buying activities of our users, including their contact details and profiles, to provide value-added services to our users. If you are registering as a business entity, you must represent that you are authorized by the business entity to accept this User Agreement and have the authority to bind the entity to it. Please note that our Platform is not risk-proof.
ACCOUNT REGISTRATION
To become a Registered User, there is a simple procedure to follow for your convenience. By filling out an online registration form on the Platform and providing necessary information such as name, contact details, and business information, you can become a Registered User. Upon registration, Keedwi will establish an account for you and assign a User ID and Password for log-in access to your account. As a Registered User, it is your responsibility to maintain the confidentiality of your User ID, Password, personal and non-personal information, and restrict access to your computer system and network.
It is mandatory to submit relevant identification numbers such as Sales tax/VAT registration, license/registration certificate/membership certificate/registration under Shops and Establishment Act, permits/licenses for undertaking retail trade, or certificate of incorporation or registration as a society or registration as a public trust for self-consumption. If you register on behalf of a business entity, you represent that entity and have the authority to bind the entity to the terms and conditions of use and this Agreement.
By becoming a Registered User, you consent to the inclusion of your personal and non-personal data in our online database and authorize Keedwi to share such information with other users. Keedwi may refuse registration and deny membership and associated User ID and Password to any user without notification. You may access and update much of the information you provided on the website, but you agree to use your account for business purposes only and not for personal use.
Despite being on the Do Not Call Registry, you consent to be contacted by Keedwi through phone calls, SMS notifications, or any other means of communication regarding the services provided by Keedwi. You agree to provide accurate and current information about yourself and your business and to promptly update your information to keep it accurate and complete. If you provide inaccurate or incomplete information or violate the User Agreement, Keedwi has the right to indefinitely suspend or terminate your membership with the Platform and refuse to provide you with access to the Platform.
CHARGES
The Platform does not charge any fees for buyers who wish to browse and make purchases. However, Keedwi reserves the right to modify its Fee Policy at any time, including introducing fees for new services or amending fees for existing services. Any changes to the Fee Policy will be posted on the Platform and will take effect immediately after being posted. Unless stated otherwise, all fees will be quoted in Indian Rupees. As a user, it is your responsibility to comply with all applicable laws regarding payments to Keedwi in India.
USE OF PLATFORM
Keedwi provides a platform for its registered users and visitors to browse and buy items from sellers who use the platform. Keedwi only provides services such as listing catalogues, pricing, and shipping, which are informational and the responsibility of the buyer to follow. Keedwi has no control over the quality, safety, legality, accuracy, or ability of sellers to sell items, or buyers to pay for items. Keedwi does not take ownership of any goods offered by sellers and is not responsible for any warranties, guarantees, or quality of products. Keedwi may offer delivery services for some products through its logistics/courier partners. Any disputes regarding warranty, guarantee, quality, and service will be addressed between the buyer and seller. Keedwi is not responsible for any misrepresentation or selling of the wrong product. The platform may provide general third-party information, such as product catalogues, advertisements, and images. Keedwi does not influence the price of products, and sellers are responsible for ensuring the accuracy of their descriptions, images, and other content related to their products.
CANCELLATION
Cancellation of orders can be initiated by Keedwi/seller of the goods for a variety of reasons, such as potentially fraudulent orders, incorrect pricing, non-payment of non-COD orders, non-availability of the product, non-serviceable address, and extended procurement time. If any of these circumstances occur, the seller reserves the right to cancel the order without notice and issue a full refund to the customer.
RETURN POLICY
The option of exchange, replacement, and/or refund is provided by respective sellers through a scheme called Returns. It is important to note that the returns policy may vary among different categories of products. Additionally, the terms, conditions, and policies of our payment service providers also apply to all returns. If you have any return requests, please contact our office.
ALERTS
By agreeing to these terms and conditions, you acknowledge that Keedwi has the right to send alerts to the phone number or email address that you provided during registration on the platform, or to any updated contact information that you may provide in the future.
CONSENT
The Platform displays content in the form received from the sellers on an “AS IS” basis. Although Keedwi strives to provide accurate and up-to-date data, it cannot guarantee the reliability of the catalogues. You acknowledge and agree that Keedwi and its catalogue providers will not be held liable for any inaccuracies in the catalogues. Additionally, the catalogues may contain copyrighted, trademarked, or other proprietary materials, and you are prohibited from removing any identification markings or creating derivative works based on the catalogue content.
PAYMENT
When making a payment on the Platform, Keedwi cannot be held responsible for any loss or damage caused to you directly or indirectly due to various reasons such as lack of authorization for transactions, exceeding the agreed-upon limits, payment issues, or declines for other reasons. Before delivering your order, the seller may require you to provide supporting documents to verify ownership of the payment instrument used for the purchase to ensure a secure online shopping experience. The transactions, transaction price, delivery, and dispatch of products are between the buyer and seller as per their contractual obligations, and Keedwi only provides the payment facility to facilitate the completion of transactions. Keedwi is not liable for any issues such as non-delivery, non-payment, or fraud concerning the products. If payment processing is done outside the Keedwi platform, the terms and conditions of the third-party payment service provider will apply. By accepting the Terms of Use, you agree that Keedwi is an independent contractor and does not have control or liability for the products listed on the Platform. Keedwi’s payment facility is an electronic, automated service and is not a banking or financial service, and Keedwi does not act as a trustee or in a fiduciary capacity regarding the transactions or transaction price.
SHIPPING OUTSIDE INDIA
At present, our Platform does not cater to orders that require international shipping. If you are an international customer, kindly email your requirements to ENTEREMAIL. We will work with the relevant sellers to check if we can fulfill your order. Please note that our business hours are from 9AM to BPM, Monday to Saturday. DELIVERY TIME
When the item is readily available or in stock with the seller, it will be dispatched within 3-4 business days after receiving complete payment for the order made online. For special orders or items that are out of stock, delivery time may take up to 2 weeks. If the seller is unable to fulfill Your order, we will refund the full amount collected on behalf of the seller within 15 business days. If the delivery time exceeds the committed timelines mentioned above, we will contact You to confirm whether You would like to proceed with the new delivery time or not. If You choose not to proceed with the order at that time, the entire amount will be refunded.

ADDITIONAL INFORMATION ABOUT PREVIOUS ORDERS
To access information about your previous orders, you can click on “Order History” located at the top of the website. You will be able to view your invoices, proof of delivery, and other shipment details from there.

Upon receipt of your grievance/complaint, the Grievance Officer will attempt to acknowledge it within 48 hours. The Grievance Officer may require additional information to investigate and resolve the issue within one month of receiving the complaint. Failure to provide the requested information may result in the complaint remaining unresolved. By agreeing to the terms and conditions, you authorize the Grievance Officer to contact you using the information you have provided for grievance/complaint purposes.
